These terms govern the website at auno.ai and the use of the Auno software. Auno is provided by Whyfield Limited, a company registered in England and Wales under company number 08901591, whose registered office is at Whyfield, Building A, Ground Floor, Green Court, Truro Business Park, Threemilestone, Truro, Cornwall, TR4 9LF. In these terms, "we", "us" and "our" refer to Whyfield Limited, and "Auno" means the Auno platform and any associated applications and interfaces.

By using this website or the Auno software, you accept these terms. If you do not accept them, do not use them.

1. Who these terms are between

Auno is business software for accountancy practices. Where a practice holds an account, these terms are between us and that organisation, and the individuals it authorises use Auno under the organisation's account. Those individuals must also comply with these terms.

Where we and a customer organisation enter into a separate written agreement covering commercial terms such as fees, subscription term, service levels or support, that agreement applies in addition to these terms and, to the extent it conflicts with them, prevails. These terms apply in full where no such agreement is in place.

The customer organisation remains responsible for the personal data and client records it puts into Auno, including having a lawful basis to process them and ensuring they are accurate. We process that data on the organisation's instructions, as described in our Privacy Policy and in the data processing agreement accepted within the product.

You must not upload material that is unlawful, that infringes anyone's rights, or that you are not entitled to disclose to us.

4. HMRC and Making Tax Digital

Auno connects to HM Revenue & Customs so that practices can act for their clients, including checking VAT registrations, retrieving filing obligations and making submissions under Making Tax Digital. The following apply to that functionality.

Auno can connect to third-party services, including Companies House, the Charity Commission, Xero and Microsoft 365. Those connections are made at your choice, and data is exchanged under the permissions you grant when connecting. Each of those services is operated by a third party under its own terms, and we are not responsible for their availability, accuracy or acts.

7. Availability and changes to the service

We aim to keep Auno available and reliable, but we do not guarantee uninterrupted or error-free operation. We may need to suspend access for maintenance, or to protect the security or integrity of the service. Any specific availability or support commitments are a matter for a separate written agreement.

We may change, add to or withdraw features. Where a change materially reduces functionality that a customer relies on, we will take reasonable steps to give notice.

8. Intellectual property

We own or are licensed to use all intellectual property rights in Auno, this website and the material published on it, and all such rights are reserved. Subject to these terms, we grant the customer organisation a non-exclusive, non-transferable right to use Auno for its own business during the period it holds an account.

You retain all rights in the data and content you put into Auno. You grant us only the rights needed to host, process and display it in order to provide the service.

"Auno" and the Auno logo are trade marks of Whyfield Limited. Other product and company names may be the trade marks of their respective owners.

Content on this website is provided for general information only. It does not constitute accountancy, tax, legal or other professional advice, and must not be relied on as such.

10. Disclaimers

Auno is a tool used by qualified professionals in their own work. It does not provide accountancy, tax or legal advice, and it does not replace professional judgement. Any calculation, suggestion or AI-generated draft produced by Auno is for review by a competent person before it is relied on or submitted.

Except as expressly stated in these terms, and to the extent permitted by law, we exclude all conditions, warranties and other terms that might otherwise be implied, including as to satisfactory quality, fitness for a particular purpose and accuracy.

11. Our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, we will not be liable for loss of profit, loss of business, business interruption, loss of anticipated savings, or for any penalty, interest or charge imposed by HMRC or any other authority arising from information you submitted, whether or not that information passed through Auno.

Any further limitation or cap on our liability is a matter for a separate written agreement between us and the customer organisation.

12. Suspension and ending access

We may suspend or withdraw access where these terms are breached, where we reasonably suspect unauthorised or unlawful use, or where suspension is necessary to protect the service or its users. We will restore access once the cause is resolved, where it is appropriate to do so.

On termination, we will return or delete the customer organisation's data as described in our Privacy Policy and the data processing agreement. Notice periods and any other consequences of termination are a matter for a separate written agreement.

13. Changes to these terms

We may revise these terms. The version in force is the one published here, with the date shown at the top. Where a change is material, we will take reasonable steps to notify customers.

14. Governing law

These terms and any dispute arising out of or in connection with them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
